These Alchemy Cloud AI Terms of Service (“AI Terms”) apply to access and any use by you ( “Customer”) of any AI Tools with the Alchemy Cloud Platform. By entering into the Alchemy Cloud SaaS Terms of Service (or a separate master services agreement with Alchemy) (the “Agreement”) or by accessing or using any AI Tools, Customer agrees to be legally bound by these AI Terms which are hereby incorporated by reference into the Agreement. These AI Terms are effective between Customer and Alchemy Cloud, Inc. (“Alchemy”) as of the earlier of the date of Customer’s first Order Form entered into under the Agreement or Customer’s first use of the AI Tools. Any capitalized terms used but not otherwise defined herein have the meaning set forth in the Agreement.
It is hereby clarified that the usage and operation of AI Tools is optional and subject to the Customer’s discretion. The Customer’s admin can manage the AI Tools and preferences through its Alchemy Cloud Services account. The Customer further understands and acknowledges that the AI Tools are not mandatory and that the Alchemy Cloud Services may be used without enabling the AI Tools.
BY ACCESSING OR USING THE AI TOOLS CUSTOMER HEREBY ACKNOWLEDGES IT HAS READ AND UNDERSTOOD THESE AI TERMS AND AGREE TO BE BOUND BY THEM AND TO ACCESS AND USE THE AI TOOLS IN ACCORDANCE WITH THESE AI TERMS AND THE AGREEMENT. IF CUSTOMER DOES NOT AGREE TO THESE AI TERMS, IT MAY NOT USE THE AI TOOL. CUSTOMER HEREBY AGREES THAT THESE AI TERMS ARE ENFORCEABLE LIKE ANY SIGNED WRITTEN AGREEMENT.
1. CUSTOMER DATA. Customer is solely responsible for the creation, development, content, operation, maintenance, use, and dissemination of all Customer Inputs and Customer Outputs. Customer is solely responsible for ensuring that Customer Inputs, access to and use of AI Tools, and resulting Customer Outputs will not (i) violate any applicable law or regulation; (ii) violate these AI Terms or the Agreement; or (iii) infringe upon, violate, or misappropriate any of Alchemy’s rights or the rights of any third party. Customer will not provide Customer Inputs or attempt to generate Customer Outputs through AI Tools that consist of any sensitive personal information or data.
Customer acknowledges that due to the nature of AI, Customer Outputs may not be unique, and AI Tools may generate the same or similar output for Alchemy’s other customers. Responses that are requested by and generated for Alchemy’s other customers based on their respective data are not Customer Data.
To the extent Customer uses AI Tools, such use is at Customer’s own risk and no liability will accrue to Alchemy for such use or for any act or omission by such AI Tools. For the avoidance of doubt, Alchemy is not responsible for the availability, security, accuracy or integrity of any Customer Inputs submitted to AI Tools or any Customer Outputs produced through the use of AI Tools. Outputs may be inaccurate, inappropriate, or biased. Customer is responsible for implementing reasonable practices, including human oversight, to guard against Outputs being used in an unsuitable or unlawful way or in violation of the rights of others. Customer is responsible for all decisions, actions, or inactions arising from its use of the AI Tools, including, without limitation, ensuring such decisions, actions, or inactions comply with applicable laws, regulations, and other legal requirements related to data protection, intellectual property, and the use of AI.
2. CONDITIONS FOR USAGE. When using AI Tools, Customer must not represent that Customer Output was human-generated when it is not. All restrictions and use guidelines that apply to the Alchemy Cloud Services and/or Alchemy Cloud Software in the Agreement shall equally apply to use of the AI Tools.
3. TRAINING. Alchemy’s agreements with its Third Party AI providers contractually restrict its Third-Party AI providers (a) from using Customer Inputs and Customer Outputs for: (i) training or improving the Third Party AI, or (ii) general use beyond the use required to provide and maintain the Third Party AI and provide the Outputs to Customer and (b) from retaining and storing Customer Inputs and Customer Outputs other than as necessary to provide the Third Party AI and Outputs to Customer.
4. CUSTOMER AI AND THIRD PARTY AI. To the extent Customer elects to use Customer AI or Third Party AI with the Alchemy Cloud Services, Customer warrants that it has the right to use Customer AI or Third Party AI without violating any contracts or applicable law. Further, in Customer’s use of Third Party AI, including Customer’s processing of Customer Inputs and generation of Customer Outputs, Customer acknowledges and agrees to comply with, and to require each of its Users to comply with, the policies and terms of the applicable Third Party AI providers set forth at the following links which may change from time to time:
